These Terms of Service ("Terms") govern access to and use of EzClinic, a cloud-based practice management platform for dental and medical clinics ("Service"), provided by EzTechify ("EzTechify," "we," "us," or "our"). EzClinic is offered globally as a subscription (SaaS) product to clinics, healthcare practices, and independent practitioners in any country, subject to compliance with applicable local laws. By creating an account, registering a clinic, or otherwise using the Service, you ("Customer," "Clinic," or "you") agree to be bound by these Terms.
EzClinic provides appointment scheduling, patient records management, billing and invoicing, staff/HR tools, reporting, and related features delivered as a hosted, multi-tenant application. We may add, change, or discontinue features from time to time, and we will make reasonable efforts to notify Customers of material changes.
Each Clinic operates within its own isolated tenant workspace. Customer is responsible for maintaining the confidentiality of login credentials and for all activity under its account, including accounts created for its staff (administrators, doctors, receptionists) and any patient portal accounts it enables. EzTechify is not responsible for losses caused by a Customer's failure to secure its own credentials.
The Service is offered on a subscription basis with monthly or annual billing cycles, as selected at signup or configured by EzTechify. New Clinics may receive a free trial period of a duration disclosed at signup. Following the trial, continued use requires an active paid subscription. Fees are billed in advance and are non-refundable except where required by applicable law. Failure to pay may result in account suspension (read-only or locked access) until payment is received. Prices may change with reasonable prior notice.
"Customer Data" means all data a Clinic and its staff submit to the Service, including patient records, medical/dental history, appointment data, documents (e.g., x-rays, lab results), billing records, and consent forms. As between EzTechify and Customer, Customer retains all rights to Customer Data. Customer is solely responsible for (a) the accuracy and lawfulness of Customer Data it enters, (b) obtaining any necessary patient consents to collect and process such data through the Service, and (c) complying with healthcare and data-protection laws applicable in its own jurisdiction(s) (for example, but not limited to, HIPAA, GDPR, or local equivalents). EzTechify acts as a data processor/service provider with respect to Customer Data and processes it only to provide and support the Service, as further described in our Privacy Policy.
You agree not to: (a) use the Service for any unlawful purpose or in violation of healthcare regulations applicable to you; (b) attempt to access another Clinic's data or bypass tenant isolation; (c) reverse engineer, resell, or white-label the Service without written permission; (d) upload malicious code; or (e) use the Service in a way that could disrupt its availability to other Clinics on the platform.
We aim to provide reliable, continuously available service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated where practical. Support is provided via the channels made available in-app or on our website.
We may suspend or terminate access for non-payment, breach of these Terms, suspected fraud, or conduct that risks the security or integrity of the Service or other Clinics' data. Customer may cancel its subscription at any time; cancellation takes effect at the end of the current billing period unless otherwise required by law. Upon termination, Customer Data may be retained for a limited period to allow export, after which it may be deleted in accordance with our data retention practices.
The Service is a practice-management tool, not a medical device, and does not provide medical advice, diagnosis, or treatment. Clinics and their licensed practitioners remain solely responsible for clinical decisions and the accuracy of clinical content entered into the Service. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law.
To the maximum extent permitted by applicable law, EzTechify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from or related to use of the Service. EzTechify's total aggregate liability for any claim shall not exceed the amount paid by Customer for the Service in the twelve (12) months preceding the claim.
EzClinic is offered as a global SaaS product to Customers in multiple countries. Except where mandatory local consumer-protection or data-protection law provides otherwise, these Terms are governed by the laws applicable to EzTechify's place of incorporation, without regard to conflict-of-law principles. Customers are responsible for ensuring their use of the Service complies with laws in their own country or region, including healthcare recordkeeping and data-residency requirements.
We may update these Terms from time to time. Material changes will be notified via the Service or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
